Senior Legal Counsel

What we are looking for
We are seeking an experienced and highly skilled Senior Legal Counsel to support our legal department and provide expert counsel in all legal matters. This role requires a proactive and strategic legal professional with a strong background in financial services, structured finance matters to CTF, corporate business and regulatory matters. The ideal candidate will play a critical role in mitigating legal risks and ensuring compliance with both Swiss and international law.
Your responsibilities
  • Provide legal expertise in banking and finance, covering financial services, regulatory matters, structured finance matters to CTF and corporate business; 
  • Collaborate with internal and external stakeholders, drafting and negotiating financial agreements, such as loan agreements, term sheets, reviewing IT contracts, vendor agreements, etc.; 
  • Execute and manage corporate secretarial tasks related to the management of the bank; 
  • Reporting and advising of the management of the bank on bank's compliance with laws and regulation;
  • Regulatory responsibilities, such as interaction with various external stakeholders and supervisory authorities of the bank
  • Participating in regulatory and compliance driven projects;  
  • Negotiate, coordinate and monitor management of complex legal issues and make key decisions within areas of responsibility; 
  • Keep update don industry trends and legal developments in the banking and financial market area to ensure global compliance.  
Your profile
  • Legal Education: Law degree (Master of Laws or equivalent) from a recognized university, ideally with a specialization in financial law, commercial law, or financial services. Admission to the bar in Switzerland or another reputable jurisdiction is a strong asset.
  • Professional Experience:
  • Minimum of 6 - 8 years of relevant experience in the legal profession, with relevant legal experience in banking, finance, or a corporate legal environment, ideally with exposure to structured finance, regulatory matters, financial services and transactional work.
  • Skills:
    1. Regulatory Knowledge: In-depth knowledge of Swiss Swiss and international banking regulations, financial market laws, and regulatory frameworks.
    2. Transactional Expertise: Proven experience in drafting, reviewing, and negotiating a broad range of legal agreements, including loan agreements, term sheets, vendor/IT contracts, and other commercial documentation.
    3. Corporate Governance: Experience in handling corporate secretarial tasks and advising on governance matters.
    4. Stakeholder Engagement: Strong interpersonal and communication skills to collaborate effectively with internal teams, external partners, and regulatory authorities.
    5. Communication Skills: Ability to communicate complex legal concepts clearly and concisely, both in writing and verbally, across various levels of the organization.
    6. Analytical Thinking: Strong analytical, problem-solving, and decision-making skills, with the ability to manage complex legal issues independently.
    7. Language Skills: Excellent command of German and English (written and spoken); proficiency in French would be a plus.
